These Terms of Service (“Terms”) govern your access to and use of the website at aisaworks.com and the manufacturing, production-management, dispatch and related services provided by AISAWORKS CO., LIMITED (“AISAWORKS”, “we”, “us”, “our”). By using our website or placing an order, you agree to these Terms.
1. Services
We provide contract manufacturing and cross-border production-management and dispatch services, which may include Giclée and specialty printing, foil stamping, laser-cut acrylic goods, badges, artbook production, packaging, dispatch coordination, event delivery and global fan-direct shipping. Physical production is executed by vetted partner facilities; AISAWORKS holds the specification, quality-control and client relationship.
2. Quotes and orders
- Quotes are valid for the period stated and are based on the specifications, quantities and artwork provided at the time of inquiry.
- An order is confirmed only when we issue a written order confirmation and any required deposit is received.
- Goods are custom-manufactured to your specification. Once a proof is approved or production has begun, an order cannot be cancelled or refunded, except as set out in our Shipping & Refund Policy.
- Production timings are estimates and may vary with material availability, artwork complexity and proofing cycles.
3. Client artwork and IP responsibility
- You are solely responsible for holding the necessary rights or licenses for any artwork or content you submit. See our IP Compliance Statement.
- You warrant that your content does not infringe third-party rights and that you will not use our services to produce counterfeit or infringing goods.
- We may refuse or cancel orders where authorization cannot be demonstrated.
4. Proofs and color
- Print and material output may vary from on-screen color. We provide proofs where agreed, and your approval of a proof constitutes acceptance of the artwork layout and color targets.
- Within standard industrial tolerances, minor variation in color, registration, finish or dimensions between production runs is inherent to printing and manufacturing and is not a defect.
5. Pricing and payment
- Prices are quoted in the currency stated on the invoice and may exclude taxes, duties and applicable shipping charges unless stated otherwise.
- We may require a deposit before production and full payment before shipment.
- Settlement may be supported in multiple currencies via our payment providers.
- Uncollected goods. If the balance is unpaid or dispatch instructions are not provided within 30 days of a notice that the order is complete, we may apply reasonable storage fees and, after written notice, dispose of the goods to recover outstanding costs. Title remains with us until full payment is received.
6. Shipping, delivery and title
- Shipping and delivery terms are set out in our Shipping & Refund Policy.
- Risk passes as stated in that policy. Delivery timelines are estimates and we are not liable for delays caused by carriers, customs or events beyond our control.
7. Intellectual property
- You retain ownership of your artwork. You grant us a limited license to use it solely to perform the services.
- The website, including its design, text and branding, is owned by AISAWORKS and may not be reproduced without permission.
8. Limitation of liability
- To the maximum extent permitted by law, our aggregate liability arising from or relating to an order is limited to the amount paid by you for that order.
- We are not liable for indirect, incidental or consequential damages, including lost profits or lost sales.
9. Indemnity
You agree to indemnify, defend and hold harmless AISAWORKS CO., LIMITED and its directors, officers and employees against any claims, liabilities, damages, losses and reasonable legal costs arising from any breach of these Terms or any intellectual-property infringement in the artwork or content you submit. This obligation survives termination.
10. Termination
We may suspend or terminate services or refuse an order if these Terms are breached, if required by law, or if we reasonably suspect infringement or fraud.
11. Force majeure
Neither party is liable for any failure or delay in performing its obligations (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, civil unrest, labour disputes, epidemic or pandemic restrictions, material embargoes, customs delays, carrier disruption and telecommunications failures.
12. Governing law
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. The courts of Hong Kong have exclusive jurisdiction over any dispute arising from or relating to these Terms, save where mandatory law provides otherwise.
